Terms of Service

Effective Date: April 2, 2026

These terms govern your use of Clearline Civic ("the Service"), a web-based platform for township and local-government public works management.

Acceptance of Terms

By accessing or using Clearline Civic, you agree to these terms. If you do not agree, do not use the Service.

Relationship to the Master Services Agreement

If you access or use the Service on behalf of a township or other entity that has entered into a Master Services Agreement (and any Order Form) with Clearline Civic LLC, that agreement governs that entity's and its authorized users' access to and use of the Service, and it controls over these Terms to the extent of any conflict.

Account Responsibilities

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.

Permitted Use

Clearline Civic is intended for use by townships and other local government entities and their authorized personnel for managing public works operations. You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to the Service or its systems.
  • Interfere with or disrupt the Service.
  • Reverse-engineer or attempt to extract the source code of the Service.

No Engineering, Design, or Other Professional Services

The Service is an administrative and informational software tool. Clearline Civic LLC is a software provider; it is not a licensed engineering, land surveying, architecture, or other professional design firm. Nothing in the Service, and no output of the Service — including plans, reports, maps, ratings, cost estimates, or responses generated by AI features — constitutes the practice of engineering, land surveying, or architecture within the meaning of N.D. Cent. Code ch. 43-19.1 or any similar professional-licensure law of any jurisdiction, or constitutes professional engineering, surveying, architectural, or design advice. You are responsible for decisions about the design, engineering, construction, maintenance, and safety of roads and other infrastructure, and you should rely on qualified licensed professionals for any determination or work that applicable law requires a licensed professional to perform.

AI-generated responses may contain errors or omissions. Verify important information against your own records and qualified professionals before acting on it. Clearline does not guarantee that you or your entity will qualify for or receive any grant or other funding.

Data Ownership

Your data is yours. All township-specific data you enter into Clearline Civic remains the property of your township. We do not claim ownership of your data.

We will never sell your township's individual data to any third party.

We may use anonymized, aggregate data across all townships to generate general usage reports or improve the platform. These reports will never identify any individual township or user.

Service Availability

We strive to keep Clearline Civic available at all times but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability.

Limitation of Liability

EXCEPT AS EXPRESSLY PROVIDED IN A MASTER SERVICES AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND CLEARLINE DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GRANT FUNDING, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE; AND (B) OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR ONE HUNDRED U.S. DOLLARS ($100) IF NO FEES WERE PAID). IF A MASTER SERVICES AGREEMENT APPLIES TO YOUR USE, THE WARRANTY, DISCLAIMER, AND LIABILITY TERMS OF THAT AGREEMENT CONTROL.

Termination

We may suspend or terminate your access to the Service at any time for violation of these terms. You may stop using the Service at any time. Upon termination, your right to use the Service ceases, but your data ownership rights remain as described above.

Changes to These Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised terms. We will notify users of material changes via email or an in-app notice.

Governing Law

These Terms and any dispute arising out of or relating to these Terms or your use of the Service are governed by the laws of the State of North Dakota, without regard to its conflict of law principles. Clearline Civic is a North Dakota limited liability company. Subject to any applicable Master Services Agreement and to the extent permitted by applicable law, any action arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Burleigh County, North Dakota.
